Minister of Law Regulation No. 49 of 2025 on the Requirements and Procedures for the Establishment, Amendment and Dissolution of Limited Liability Company Legal Entities

Summary

Permenkum 49/2025 sets the requirements and procedures for the establishment, amendment and dissolution of limited liability company (PT) legal entities. Applications are submitted to the Minister through AHU (the Directorate General of General Legal Administration) and are subject to non-tax state revenue (PNBP) fees at the rates applicable at the Ministry of Law.

The regulation was issued on 11 December 2025, took effect on 17 December 2025, and revokes Permenkumham 21/2021. All ratification of PT deeds of establishment and of amendments to articles of association at AHU now refers to this regulation. That includes a PT PMA, since foreign investment must take the form of an Indonesian PT; its establishment and later amendments to its articles go through the same AHU process.
