Government Regulation No. 8 of 2021 on the Authorized Capital of Companies and the Registration of the Establishment, Amendment and Dissolution of Companies Meeting the Criteria for Micro and Small Enterprises

Summary

PP 8/2021 regulates companies' authorized capital and the registration of the establishment, amendment and dissolution of companies that meet the criteria for micro and small enterprises (UMK). A company for a UMK may be a PT founded by two or more persons, or an individual PT (PT perorangan) founded by one person.

This is the regulation that sets the technical rules for the individual PT: establishment by a statement of establishment (without a notarial deed), amendments, the duty to submit financial statements, and dissolution. It also provides that the amount of authorized capital is determined by the founders' decision. It revokes PP 29/2016. Registration requirements and procedures at AHU (the Directorate General of General Legal Administration, which keeps the company register) are detailed further in Permenkum 49/2025.
